1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the FinAnswer platform and related services (“Service”) operated by FINANSWER LLC, a Florida limited liability company (“FinAnswer,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Who May Use the Service
The Service is intended for use by accounting firms, CPA practices, bookkeeping firms, and fractional CFO practices (“Firms”) and their authorized staff and clients.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
3. Accounts
Registration: You must create an account to use the Service. You agree to provide accurate, complete information and to keep it updated.
Security: You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@finanswer.ai if you suspect unauthorized access to your account.
Firm accounts: The firm administrator is responsible for managing access for staff members and clients. You are responsible for all activity that occurs under accounts you administer.
4. The Service
FinAnswer provides tools for accounting firms to deliver structured advisory services, including:
Chart of accounts enrichment and classification
AI-powered meeting summarization and insight generation
Accountant review and approval workflows
Client portal delivery
Advisory record keeping and task management
AI-generated content: The Service uses artificial intelligence to generate meeting summaries, financial insights, and recommendations. All AI-generated content is presented for accountant review and must be reviewed, approved, and accepted by a licensed accounting professional before delivery to any client. AI-generated content does not constitute professional accounting, legal, tax, or financial advice. You are solely responsible for the accuracy and appropriateness of any content delivered to your clients.
Your judgment: FinAnswer is a workflow and delivery platform. It does not replace the professional judgment of the accountant. You retain full responsibility for all advice, recommendations, and deliverables provided to your clients.
5. Professional Responsibilities
Independence: If you are a licensed CPA subject to AICPA independence requirements or applicable state board rules, you are solely responsible for ensuring that your use of the Service does not impair your independence with respect to any attest client. FinAnswer is designed to support independence compliance, but compliance remains your professional responsibility.
Client responsibility: Your clients must retain management responsibility for all decisions made in connection with advisory services delivered through the platform. The platform requires explicit client acceptance of recommendations, but you are responsible for ensuring your engagement structure satisfies applicable professional standards.
Licensing: You are responsible for ensuring that your use of the Service complies with all applicable professional licensing requirements in your jurisdiction.
6. Your Data
Ownership: You retain ownership of all data you upload, enter, or generate through the Service, including client financial data, advisory records, and meeting content.
License to operate: By using the Service, you grant FinAnswer a limited license to store, process, and display your data solely for the purpose of providing the Service to you.
Client data: You represent that you have obtained all necessary authorizations from your clients to upload and process their financial data through the Service.
Portability: You may export your data at any time. We will not hold your data hostage. Upon account closure, your data remains exportable for 90 days.
7. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose
Upload data you do not have the right to use
Attempt to gain unauthorized access to any part of the Service or another user’s account
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to transmit malware, spam, or any harmful content
Resell or sublicense access to the Service without our written consent
Use the Service in any way that could damage, disable, or impair its operation
8. Fees and Payment
Pricing: Access to the Service is subject to the fees described at finanswer.ai/pricing or in your order form. We reserve the right to change pricing with 30 days notice.
Payment: Fees are billed in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
Taxes: You are responsible for all applicable taxes associated with your use of the Service.
Non-payment: We reserve the right to suspend or terminate access to the Service for non-payment after reasonable notice.
9. Intellectual Property
Our IP: The Service, including all software, design, content, and trademarks, is owned by FinAnswer and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
Your IP: You retain all rights to your data and content. We claim no ownership over your client data, advisory records, or firm content.
10. Confidentiality
Each party agrees to keep the other’s confidential information private and to use it only for the purposes of these Terms. FinAnswer will treat your client financial data as confidential and will not disclose it except as described in our Privacy Policy or as required by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OF ANY AI-GENERATED CONTENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINANSWER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Indemnification
You agree to indemnify and hold harmless FinAnswer and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Term and Termination
Term: These Terms begin when you create an account and continue until terminated.
Termination by you: You may close your account at any time by contacting support@finanswer.ai.
Termination by us: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. We may terminate immediately if we determine your use poses a security risk or legal liability.
Effect of termination: Upon termination, your right to use the Service ends. You may export your data for 90 days following termination. After that period, we may delete your data.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or platform notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction there.
17. General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FinAnswer regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
